  Business and Entrepreneurship Law Program: Certificate Program   
     
     

Certificate Program

For students who wish to focus their studies in the area of Business and Entrepreneurship Law, the law school offers a sequenced curriculum leading to completion of the concentration’s Certificate Program.

To complete the concentration’s requirements and to qualify for a Certificate in Business and Entrepreneurship Law, a student must:

   
General Requirements

• Complete the following Required Courses (generally during the second year):
   
 
  • LAW 760 Business Organizations (5 credits)
 
  • LAW 651 Enterprise Taxation (5 credits)
 
  • LAW 765 Law & Finance of Transactional Lawyering (4 credits)
   
  • Complete a Practical Learning Experience (generally during the third year):
  •  
     
    • LAW 770 & 771 Practicum in Entrepreneurial Business Lawyering (6 credits); or a co-op placement approved by the Director; or for JD/MBA students, completion of the MBA requirements; or another comparable practical learning experience approved by the Director
       
  • Complete Upperclass Electives:
  •  
     
    • At least 3 Electives from the Approved List (9 or more credits); or for JD/MBA students, at least 2 Electives from the Approved List (6 or more credits) and completion of MBA requirements

      • The List of Approved Electives currently includes:
       
       
    • LAW 770 & 771 Practicum in Entrepreneurial Business Lawyering (6 credits), if not needed to satisfy the “Practical Learning” requirement above
       
    • LAW 705 Securities Regulation (3 credits)
       
    • LAW 766 Private Equity & Venture Capital Law (4 credits)
       
    • LAW 648 Employment Law: A Drafting Approach (3 credits)
       
    • LAW 730 Copyrights (3 credits)
       
    • LAW 731 Trademarks and Unfair Competition (3 credits)
       
    • LAW 732 Patents I (3 credits)
       
    • LAW 735 Patent Prosecution (3 credits)
       
    • LAW 737 Advanced Patents (3 credits)
       
    • LAW 740 Entertainment Law (3 credits)
       
    • LAW 675 Bankruptcy (4 credits)
       
    • LAW 637 Secured Transactions (3 credits)
       
    • LAW 763 Real Estate Transactions (3 credits)
       
    • LAW 761 Non-profit Organizations (3 credits)
       
    • LAW 805 Drafting Legal Documents (3 credits)
       
    • BUSN 501 Measuring and Maximizing Financial Performance (3 credits)
         
         
       
  • Additional Approved Electives we may offer are:

    • Cyberspace and the Law
       
    • Executive Compensation Law
       
    • Insurance Law
       
    • Licensing, Franchise and Joint Ventures
       
    • Mergers and Acquisitions
       
    • Mutual Funds and Investment Advisors
       
    • Law of Outsourcing
       
    • Other courses as approved by the Director
         
         
       

    • Writing Requirement:

         
        • Subject to the prior approval of the Director, each student must complete a “substantial” writing project, requiring significant independent and original research. These projects may be completed as part of a course, a seminar, a law review note or an independent study at the Earle Mack School of Law.
         
        • Strongly Recommended Courses:
         
        • One of LAW 766 Private Equity & Venture Capital Law or Law 705 Securities Regulation and one of LAW 675 Bankruptcy or LAW 637 Secured Transactions are strongly recommended for students pursuing the Concentration.
         
        • Students without prior exposure to accounting are strongly encouraged to take BUSN 501 Measuring and Maximizing Financial Performance at the LeBow College of Business (3 credits).
         
         
    Honors
     
    • To receive "Honors," the student must have an overall GPA of 3.2 or better in the courses counted toward completion of the Concentration requirements.
